日本大阪能源株式會社(以下簡稱買方)雙方經(jīng)過友好協(xié)商,同意按照以下兩部分條款簽訂本合同:
China Chemicals Import and Export Corporation(hereinafter referred to as the seller) and Japan Osaka Energy Corporation (hereinafter referred to as the buyer) through friendly consultations, agreed to sign and enter into this contract in accordance with the provisions of following two parts:
第一部分 Part One
一,商品品名:勝利原油 Description: Crude oil of Shengli Oil Field

(換算原油重量按gb1884-80方法進行) Conversion weight of crude oil by gb1884-80 method

四,價格 本合同各交貨期的具體價格原則上與 號合同,同一交貨期有效的價格一致。
Price: The particular price of separate delivery time hereof is consistent with the stipulations of the contract No. 86xoil25j and the valid price of the same date of delivery.
五,交貨期Delivery time: 2017年第1季度 噸 Ton in First Quarter, 2017
2017年第2季度 噸 Ton in Second Quarter, 2017
2017年第3季度 噸 Ton in Third Quarter, 2017
2017年第4季度 噸 Ton in Fourth Quarter, 2017
上述各季度的裝船月份由買方選定,但應在各季度前月15日以前通知賣方。
The delivery month of each quarter above will be at buyer’s option, provided that should be advised to seller prior to the 15th date of the month before each quarter.
六,裝船口岸 Port of Shipment:七,目的口岸 Port of Destination:八,付款條件:買方應于貨物裝船前十天,按本合同第二部分第三條①款雙方商定的裝船數(shù)量及期限,通過雙方同意的銀行開出
以中國化工進出口公司為受益人的,不可撤銷的可轉讓的,可分割的美元信用證。該信用證憑受益人出具的以開證行為付款人的匯票以及本合同第一部分第九條所規(guī)定的各項單據(jù),自提單日起三十天(包括提單日在內),由開證行將貨款電匯中國銀行。信用證金額應按雙方商定的交貨數(shù)量增開5%。信用證上須證明租船提單可以接受。
Payment: Buyer should within 10 days prior to shipment of goods, in accordance with the conditions of shipment quantity and time limited which agreed by the parties hereto in ① provision 3 of part two hereof, issue the irrevocable, transferable, divisible Letter of Credit in the currency of USD, in favor of China Chemicals Import and Export Corporation through the bank which agreed by the parties hereto.
The Letter of Credit will be against the draft issued by the beneficiary drawn on the issuing bank, accompanied by several documents which stipulated in the provision 9 of part one hereof, the payment of goods will within 30 days from the date of bill of lading (including the date of bill of lading ) be effected by telegraphic transfer to China Bank. The credit amount should be increase 5% than the same of the quantity of delivered goods and with the certification on the Letter of Credit to certify that the bill of lading with charter party may be acceptable.
九,單據(jù) Documents① 賣方在貨物啟運后,應向議付銀行提供下列單據(jù)作為議付貨款的依據(jù):
Seller shall, after shipment of goods, provide the following documents to the negotiating bank for negotiation of payment proofs:
a) 發(fā)票四份; Invoice in four copies.
b) 清潔裝船提單正本二份; Clean Bill of Lading original two copies.
c) 由商品檢驗局出具的質量檢驗證書,重量鑒定證書及產(chǎn)地證明書各一份.
Each copy of Quality inspection certificate, weight identification certificate and certificate of origin issued by Commodity Inspection Bureau.
②賣方須將上述單據(jù)中的清潔裝船提單副本二份,隨船帶交目的港買方指定的收貨人。其余單據(jù)副本二份航寄買方。
Sellers shall dispatch,in care of the carrying vessel,tow copies of the duplicates of clean Bill of Lading to the receiver which designed by buyer and tow copies of duplicates of other documents are sent by airmail to buyer.
十,附注 Other Provisions①本合同第一部分各條款尚未規(guī)定的事項,應按本合同不可分割的第二部分的各條款以及由雙方隨時協(xié)商后決定的條款履行。
The matters not stipulated in the several provisions in the first part hereof shall be executed in accordance with the terms of the second integral part hereof and the terms and conditions determined by the parties at any time after consultation.
②本合同的執(zhí)行由商事株式會社開立信用證
。The performance hereof shall be subject to the establishment of Credit Letter issued by Japan Osaka Energy Corporation.
③本合同項下的數(shù)量雙方應努力執(zhí)行,但如買方或賣方在接貨或供貨方面有困難時,雙方對本合同的履行均可不承擔責任。
Parties hereof should endeavor to execute the quantity provision hereof, provided that any difficulty of receipt or delivery of goods to buyer or seller, neither parties hereof will responsible for the performance hereof.
④本合同第一部分正本一式兩份,買賣雙方各持一份為證。
The first part hereof is made in duplicate of origin, one copy for each party.

第二部分 Part Two
一,總則 General Principles本部分條款與第一部分條款在本合同中是不可分割的組成部分。
The terms and conditions of hereof and of the first part are the integral parts of this contract.
二, 交貨條件 Delivery Conditions①
貨物所有權及風險的轉移,以裝運港岸上輸油臂與油輪集輸油管連接點作為分界線,貨物通過該連接點時,由賣方轉移到買方,賣方交貨責任即告終止。
The transfer of the ownership and risk of the goods shall be subject to the dividing line at the junction part between the loading arm on the shore and the oil tanker, when the goods pass through there, the ownership and risk transfer to buyer from seller and at same time the liability of seller’s delivery has been completed.

買方所派油輪,禁止在中華人民共和國沿海水域排放油類或油性混合物。
油輪進港后,應根據(jù)港口當局的規(guī)定把壓艙污水排放在處理池內,費用由買方負擔。
The oil tankers which sent by buyer shall be banned to discharge the mixture materials with oil within the coastal water of the People’s Republic of China. The ballast sewage in the tanker should be discharged into the treatment pool pursuant to the port authority’s regulations, the cost thereof will be borne by buyer.
③
買方所派油輪在裝貨港,應遵守當?shù)匦姓斁炙?guī)定的有關油輪作業(yè)安全規(guī)則。
The tanker which sent by buyer in the port of loading should comply with the safety regulations for the tanker operations which are stipulated by the local administration.
④買方所派油輪載重噸不得超過六萬噸,滿載最大吃水不得超過12.5米。油輪長度不得大于230米。如買方所派油輪不符合上述規(guī)定時,必須事先征得賣方同意,否則由此所造成的港口當局拒絕油輪靠棧橋,或發(fā)生空艙及與此有關的損失均由買方負擔。
The dead weight ton of buyer’s tanker shall not be in excess of sixty thousand tons and the ship draft of maximum load shall not exceed the maximum draft of 12.5 meters,the length of the tanker shall not be greater than 230 meters. Provided that if buyer’s tanker fail to comply with the above provisions, seller’s prior consent shall be obtained, otherwise the port authority refuse tanker to stop by jetty or dead freight and other loss consequent thereon or incidental thereto will be borne by buyer.
⑤如果由于賣方的原因,在裝貨港需要
移動泊位或用油駁船裝貨時,其費用由賣方負擔。但如果由于買方的原因,如需要移動泊位或用油駁船裝貨時,其費用由買方負擔。如果由于人力不可抗拒的原因,為了確保油輪的安全,裝船移泊費用由買方自理。
Provided that due to the seller’s reason,
it is necessary, at the port of loading, to move ship berth or using oil barge for loading, the expenses thereof shall be borne by seller, however, if due to buyer’s reason, it is necessary, at the port of loading, to move ship berth or using oil barge for loading, the expenses thereof shall be borne by buyer. In case of due to force majeure, for the safety of tanker, the expenses of loading and moving berth shall be on the account of buyer itself.
⑥
每批裝船數(shù)量允許增減5%,由買方選擇。
The tolerance within 5% of each batch of shipment quantity may be allowed, at buyer’s option.
三,裝船通知 Shipment Notice①買方應在裝船月15天前電報告知賣方派船計劃,包括船名,預計抵達裝運港日期,裝運數(shù)量。賣方接到買方派船計劃后,應在五天內電復買方接受或可以接受的預抵裝運港日期和裝運數(shù)量。買賣雙方對油輪預抵裝運港日期或裝運數(shù)量的
意見不一致時,雙方協(xié)商安排一個都可以接受的日期,裝運數(shù)量,或者安排另外一些油輪來接貨。
雙方商妥的油輪預抵裝運港的日期叫做“確認日期”。
Buyer shall advise in cable seller of the shipping plan 15 days prior the month of shipment, including the name of the vessel, the date of arrival at the port of shipment, and the quantity of the shipment. Seller shall, within five days subsequent to receipt of buyer's ship schedule, inform the date of shipment and the quantity of the shipment which to be accepted or acceptable by the buyer. Provided that if disagreement between the parties hereof on the tanker ETA or loading quantity, the parties hereof will arrange a consultation of ETA , loading quantity, which are acceptable, or arrange other tankers to ship the goods. The date of ETA which agreed is called the Confirmed Date.
②買方應按雙方商妥的“確認日期”派油輪抵達裝運港。賣方應及時裝貨。如任何一方因特殊原因要求更改“確認日期”或裝運數(shù)量時,對方應當根據(jù)儲油罐、泊位和供貨或接貨的可能條件以及油輪安排的日期,在兩天內回電答復可以接受或不可接受。
如油輪在“確認日期”以前或以后抵達裝運港,賣方應做出最大努力盡快裝貨。
Buyer should pursuant to the arrangement of Confirmed Date agreed by parties hereof dispatch its tanker at the loading port and seller should in a timely manner make shipment. In the event that each party due to any special reason require to change Confirmed Date or shipping quantity, the other party shall pursuant to the practicable conditions of storage tank, berth or receipt / delivery and tanker schedule make reply by cable within two days acceptable or unacceptable. Where the tanker arrive the loading port after or before Confirmed Date, seller should try its effort to ship the goods as soon as practicable.
③買方在本條
①款通知派船計劃時,已列明預計抵達裝運港日期及裝運數(shù)量,但因為船名待定,買方應最遲在確認日期十天前將船名電告賣方。
Buyer, on the time of making notification of the ship plan pursuant to ① this article, have stated ETA and ship quantity, provided that ship name undetermined, so buyer shall inform seller of the ship name in cable at latest ten days prior the Confirmed Date.
④買方在油輪抵達裝運港前五天電告賣方,告知船名、船籍,預抵裝運港日期,裝運數(shù)量。買方應指示船長在油輪抵達裝運港前48小時和24小時及6小時向賣方報告預抵裝運港的時間。
Buyer should give 5 days notice prior to tanker arriving the loading port to seller to inform ship name, nationality, ETA and ship quantity. Buyer should instruct the captain of tanker to report to seller the information of ETA at the times of 48 hours, 24 hours and 6 hours respectively prior to the arrival of loading port.
⑤裝船完畢后,賣方應在24小時內以電報通知買方如下信息:合同號,品名,密度(注明換算溫度),含硫量%,含水量%,船名,收貨人,裝運數(shù)量,發(fā)票單價,總值,提單日,起航時間。
Seller should, within 24 hours subsequent to the completion of loading, inform in cable buyer with the information as follows: contract No., commodity name, density (specify conversion temperature), sulfur content %, moisture %, ship name, the consignee, shipment quantity, invoice value, total price, date of bill of lading, departure time.
四,裝貨定額Loading Quantum①油輪抵達裝運港后,具備裝貨條件時,船長向裝運港、賣方或外輪代理公司提出備裝通知書并同時確認。
Captain should, subsequant to the arrival of the tanker at the loading port, issue the notice of shipment and the Confirmation thereof to the loading port, seller and the ocean shipping agent.
②自裝船作業(yè)時間開始,賣方應在36小時內將全部貨物裝完,除大風雷雨天氣及港務當局另有規(guī)定外,應日夜連續(xù)裝貨。
Seller should, commencing the time of shipment,complete all the goods within 36 hours, except for the reasons of thunderstorm weather and the stipulations otherwise by port authority, shall efffect shipment day and night.
五,滯期費Demurrage Charges賣方如果未能按第四條2款所規(guī)定的裝貨時間裝貨完畢,則賣方應向買方交付滯期費。買方向賣方要求的滯期費,經(jīng)賣方審核屬實后,應以美元現(xiàn)金支付。
Failure of seller’s completion of shipment pursuant to 2 Article four hereof, seller should make payemnt of demurrage charges. The demurrage charges which is claimed by buyer to seller, subject to seller’s audit and review shall be paid in USD cash.
六,商品檢驗Commodity Inspectioin①重量的鑒定由裝船口岸國家商檢局出具的重量鑒定證書為準。提單數(shù)量應根據(jù)重量鑒定證書填寫。重量鑒定證書及提單所列數(shù)量作為買賣雙方交貨數(shù)量的依據(jù)。
The certification of weight shall be subject to the
Certificate of Weight issued by the State Adminstration of Commodity at the shipment port. The quantity on Bill of Lading shall be filled in accordance with the Certificate of Weight.
②品質的檢驗:由裝船口岸國家商檢局取樣,混合后分裝三份作為賣方所交貨物的標準樣品。國家商檢局經(jīng)化驗后所出具的品質證書作為賣方所交貨物的品質依據(jù)。
Quality Inspection. Sampling made by the State Administration of commodity inspection at the loading port, mixed and divided into three shares wich will deemed as the standard samples of goods delivered by seller. The Quality Certificate issued subsequant to inspection by China Commodity Inspection Bureau will be deemed as the quality certification of goods delivered by seller.
七,索賠 Claims如發(fā)現(xiàn)貨物在質量、數(shù)量或規(guī)格方面與本合同規(guī)定不符,賣方同意審核任何因此而提出的索賠。該索賠要求應經(jīng)賣方認可的有信譽的檢驗機構出具的報告證實。質量方面的索賠要求應于貨物到達目的港后__個月內以書面形式提出,數(shù)量或規(guī)格方面的索賠要求,應于貨物到達目的港后__天內以書面的形式提出。
Should the quality , quantity and / or specification of the commodity be found not in conformity with the description hereof , the Seller agrees to examine any claim , which shall be supported by a report issued by a reputable surveyor approved by the Seller ,Claims concerning quality shall be made in writing within ___months after the arrival of the goods at the port of destination .
八,投保油污責任險 Oil Pollution Liability Insurance由買方所派油輪,如果在裝運港遭遇事故而發(fā)生油類和油類混合物的污染,或出現(xiàn)發(fā)生這類污染的可能性時,船東或船長應迅速采取清除措施,防止油污而造成的損失。
Provided that if the tanker sent by buyer encounter accident at the shipment port and occur the pollution of oil and oil mixture, or the possibility of such pollution, ship owner or captain should promply adopt the measures to eliminate oil pollution so as to prevent losses caused by oil pollution.
九,不可抗力 Majeure Force如因人力不可抗拒的事故不能按時交貨時,賣方可以延期交貨或部分延期交貨或取消合同,但賣方應向買方提交由中國國際貿易促進委員會開具的發(fā)生事故情由的證明文件。如因人力不可抗拒的事故不能按時接貨時,買方可以延期接貨或部分延期交貨或取消合同,但買方應向賣方提交由日本國際商事仲裁協(xié)會簽發(fā)的證明文件。
If, failing
on time effect the delivery of goods due to the majeure force accident, seller may postpone the delivery or part delivery or cancel this contract, provided that should provide buyer with the certificate document on such accident issued by the China International Trade Promotion Committee. And if failure on time effect the receipt of goods due to the majeure force accident, buyer may postpone the receipt or part receipt or cancel this contract, provided that should provide seller with the certificate document on such accident issued by Japan International Commercial Arbitration Association.
十,仲裁 Arbitration因履行合同所發(fā)生的或者與本合同有關的一切爭議,首先應由簽訂合同雙方友好協(xié)商解決。如經(jīng)協(xié)商無果,應提交仲裁,不向法院起訴。仲裁在被告所在國進行。如果仲裁在中國進行,由中國國際貿易促進委員會對外貿易仲裁委員會根據(jù)該委員會的仲裁程序規(guī)則進行仲裁。如果仲裁在日本進行,則由日本國際商事仲裁協(xié)會根據(jù)該協(xié)會的仲裁程序規(guī)則進行仲裁。仲裁裁決是終局裁決,雙方都應執(zhí)行。
Any and all disputs which are arise out of or in connection with the execution hereof shall be settled at first by amicable negotiation between the parties hereof. In case of failure to settle the dispute through negotiation, the case shall be submitted for arbitration and being exclusive of litigation to the court.
If the atbitration in China, the case will be heard by the Foreign Trade Arbitration Commission of the China Council for Promotion of International Trade pusuant to the procedure rules of the Commission. If the atbitration in Japan, the case will be heard by Japan International Commercial Arbitration Association pusuant to the procedure rules of the Association. The arbitral award is final and binding, shall be executed by parties hereof.
十一,文本 Languages 本合同以英文、中文和日文書就,三種文本具有同等效力。如果出現(xiàn)文字解釋分歧,則以英文版本為準。本協(xié)議正本一式四份,甲乙雙方各執(zhí)二份。
This contract shall be made out in English, Chinese and Japanese, the three versions shall be equally authentic. In the event of any divergence of interpretation, the English version shall prevail. The orignal copies hereof is made in quadruplicate and each party holds two copies.
